The Opportunity
Reporting to the Company Secretary, you will be responsible for managing the day-to-day company secretarial function and governance matters, acting as a liaison between the Board, executive management and key stakeholders. This role ensures the Board operates effectively, meets its statutory and regulatory obligations, and is supported with accurate, timely information to enable informed decision making.
The Assistant Company Secretary facilitates best-practice corporate governance, assists in the development and maintenance of governance frameworks, and ensures compliance with the Corporations Act 2001, ASIC requirements, and other relevant laws, standards and legislation.
Key Responsibilities:
- Coordinate Board and committee meetings, including agendas, minutes, and action tracking.
- Support governance frameworks, policies, and the preparation for the AGM.
- Ensure compliance with the Corporations Act, ASIC, ASX Listing Rules, and other regulations.
- Prepare and lodge statutory returns and maintain corporate registers.
- Assist with shareholder, investor, and regulator communications, including ASX announcements and the annual report.
- Monitor legislative and regulatory updates, and advise the Board and management on governance implications.
- Support new director induction and ongoing governance training initiatives.
- Support audits and contribute to governance, risk, and compliance activities.
- Maintain accurate records and manage sensitive documents securely.
- Provide administrative and compliance support to the Company Secretary and Board.
What You’ll bring
- Tertiary qualification in Governance, Law, Commerce or relevant discipline and/ or Corporate Governance course at the Governance Institute of Australia.
- Membership of the Governance Institute of Australia or the Australian Institute of Company Directors is highly regarded.
- Exceptional attention to detail and accuracy, with the ability to manage confidential information discreetly.
- Highly organised, with the ability to prioritise competing demands in a fast-paced environment.
- Strong experience in governance support, Board and committee operations, and managing compliance and statutory requirements in complex settings.
- Demonstrated capability in managing change across diverse stakeholder groups, including Board members and executive leadership.
- Skilled in aligning governance frameworks with business strategy, ensuring statutory compliance, and communicating effectively with Boards, regulators, shareholders, and executives.
